Statute

The Articles of Associations were written at the time the Association was established and they are recorded in the commercial register. The members' meeting must approve any changes and these must be recorded in the commercial register.

Article 1

1. The Verband Liegenschaften Schweiz is an incorporated body in accordance with Article 60 ff of the Swiss Civil Code (Schweizerisches Zivilgesetzbuch (ZGB)). 

2. The registered office is at the place of the President's residency.

Article 2

Objective

1. The Association promotes and supports the proper fulfilment of all tasks in the area of facility management of public administration.

Funds

This goal shall be accomplished by:

1. Professional exchange of experience and knowledge

2. Training and Continuing Education

3. Cooperation with cantonal and Swiss federal administrations and professional associations

4. Development of standards, norms and guidelines

5. Collecting and exchanging of basic data and key indicators

6. Documenting of needs and triggering projects of common interests

7. Keeping at hand trade literature and publication of standards

8. Professional support for individual members in their specific tasks and projects

9. Management of contacts and a collegial spirit among members

Participations

Within the framework of its objective, the Association can participate in companies under private law, in foundations and other organisations.

Article 3

Type The Association is composed of active members, free members and honorary members. Active members are either individual or collective members.

Article 4

Active Members

Active members can become, individual persons who are responsible for facilities of communal administrations or government agencies in Switzerland as well as related areas of cantonal administrations. In general, collective members are political communes, school communes or parishes. The executive board decides on the acceptance of active members based on a written request. Individual members who leave the administration or who resign from their office can remain members in the Association.

Article 5

Duties of Members Members must serve the intellectual interest of the Association as defined in its Purpose. They must participate in accordance with the Association's objective and they must promote the interest of the Association.

Article 6

Free Members

Upon their professional retirement, active members become free members. Free members are exempt from membership dues.

Article 7

Honorary Members Members and as exception also other persons, who have made special contribution to the Association or to the interests of the Association can be awarded honorary memberships. Honorary members are exempt from membership dues. This award is granted upon resolution of the executive board adopted by the members' meeting.

Article 8

Leaving the Association/Exclusion Membership ends

a) upon written termination as of the end of the calendar year

b) upon non-payment of the membership fee

c) upon the exclusion by decision of the executive board

Article 9

The Right to Appeal The membership decisions of the executive board (on the acceptance or exclusion) can be appealed within one month addressed to the members' meeting.

Article 10 

Bodies The bodies of the Association are

a) the members' meeting

b) the executive board

c) the controlling body

Article 11

1.The fiscal year of the Association shall be the calendar year.

2. The general members' meeting takes place annually during the first six months.

3. Extraordinary members' meetings take place upon the decision of the executive board or they are called in by the executive board if at least one fifth of the members request it.

Article 12

1. The executive board determines place and time of the members' meeting. It mails the invitation at least three weeks prior to the meeting.

2. The agenda items must be announced in the invitation.

3. Any agenda items members request to be included in the general members' meeting must be submitted to the executive board in writing no later than by the end of February.

Article 13

The members' meeting has the following responsibilities:

a) change to the Articles of Association

b) election of the executive board members and the president

c) election of auditor

d) approval of the management report of the executive board

e) approval of the annual budget

f) approval of the financial statement

g) determination of membership dues

h) determination of compensation for members of the executive board and elected commissions

i) decision on complaints with regard to membership in accordance with

Articles 4 and 5

j) dissolution of the Association

b) Executive Board

Article 14 

1. The executive board manages the Association and it is responsible for achieving the Association's objective.

2. It has all competencies unless otherwise assigned to another body by the Articles of Association.

3. The executive board is composed of the president and at least two additional board members. It constitutes itself.

4. The executive board elects the members of the commissions.

5. The executive board has the general financial competency within the framework of the annual budget. In addition, the executive board is entitled to spend up to a total of CHF 30,000.00 outside the budget during the fiscal year.

6. The executive board can assign the enforcement of its resolution as well as the administrative work from all areas of the Association's work to a business office.

7. The executive board defines and regulates the competencies of the business office.

8. The executive board members are elected to four-year-terms.

9. The executive board adopts a business rules, which regulates the responsibilities and competencies of the bodies.

c) Controlling Body

Article 15

1. The controlling body consists of two auditors. They are elected for two years.

2. It audits the statement and accounting of the Association for regularity, completeness and accuracy.

3. It submits to the members' meeting a written report and request. 

Article 16

1. The Association funds itself particularly through membership dues and services.

2. The Association's assets are solely used for liabilities.

Article 17

Changes to the Articles of Association require the approval of two thirds of the votes of members attending the members' meeting.

Article 18

1.The Association can only be dissolved upon the approval of the majority vote of two thirds of the votes of members attending the members' meeting.

2. The meeting approving of the dissolution must decide on the appropriation of the assets of the Association.

3. Any residual assets must be given to an institution with the same or similar purpose. Distribution among members is excluded.

Article 19

On 9 April 2006, these Articles of Associations were approved by the members' meeting (founding members' meeting) and become effective immediately.

In accordance with Article 17, changes to the Articles of Association require the approval of two thirds of the votes of members attending the members' meeting. Any suggested changes must be submitted to the executive board at least four weeks prior to the members' meeting.
